X21 ("we," "us," or "our") provides an AI-powered automation platform and related consultancy services. By using our services, you represent that you are of legal age to form a binding contract and that you accept these terms in full. We reserve the right to modify these terms at any time. Continued use of the platform constitutes acceptance of updated terms.

2. AI & Output Disclaimer (Important)

Our services utilize Artificial Intelligence (AI) and Machine Learning (ML) technologies to replicate workflows and automate tasks. While we strive for high accuracy and efficiency, you acknowledge and agree that:

  • No Guarantee of Accuracy: AI systems may produce outputs that are inaccurate, incomplete, or "hallucinated." X21 does not warrant that the output generated by the AI will be error-free or entirely suitable for your specific purpose without human review.

  • Human Oversight Required: The user retains full responsibility for reviewing, validating, and approving all AI-generated outputs, decisions, and workflows before they are implemented or executed.

  • Not Professional Advice: The capabilities of X21 are designed to assist with operational execution. The software does not provide legal, financial, accounting, medical, or other professional advice.

3. Limitation of Liability

To the maximum extent permitted by applicable law in British Columbia and Canada:

In no event shall X21, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the service;

  • Any conduct or content of any third party on the service;

  • Any content obtained from the service; and

  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount you paid to X21 for the service in the twelve (12) months preceding the applicable claim.

4. Intellectual Property

  • Our IP: The X21 platform, original content, features, and functionality are and will remain the exclusive property of X21 and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of X21.

  • Your Data: You retain all rights and ownership of the data, documents, and inputs you upload to the system. You grant X21 a license to process this data solely for the purpose of providing and improving the service for you.

5. Privacy & Data Protection

We are committed to protecting your privacy in compliance with British Columbia’s Personal Information Protection Act (PIPA) and Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).

We employ industry-standard security measures to protect your data. However, no method of transmission over the Internet or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your data, we cannot guarantee its absolute security.

6. Third-Party Integrations

Our platform may integrate with third-party tools (e.g., Slack, HubSpot, Google Workspace). X21 is not responsible for the availability, accuracy, or practices of these third parties. Your use of third-party tools is governed by their respective terms and privacy policies.

7. Indemnification

You agree to defend, indemnify, and hold harmless X21 and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising here shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
